The paper makes a critical analysis of the rationale underlying the decision of the Court of Cassation n. 16374/2025. The latter advances a distinction between action for annulment of the contract due to abuse of representative power and action for damages originating from the incorrect performance of the obligations arising from the agency relationship. The consequence is that even when the first action results as time-barred, the action for damages can be nonetheless filed. It should be noted that the Court identifies in the case at stake the occurrence of a contract with oneself, while it would be more consistent with the factual background giving relevance to the provisions concerning the conflict of interest in agency relationships. In addition to this, another critical issue concerns the lack of in-depth analysis by the Supreme Court about the nature of the damage caused by the agent to the third party. Indeed, it is hard to imagine here an effective damage, since such damage originates from contractual provisions included in an agreement entered into by the agent despite the lack of power to act in the name and on behalf of the represented party. Such provisions, therefore, cannot be deemed binding on the latter.
La nota svolge talune osservazioni critiche in merito al ragionamento svolto dalla Cassazione nell’ordinanza n. 16374/2025, ove si distingue tra azione di annullamento del contratto per abuso del potere rappresentativo e azione di risarcimento del danno conseguente all’inesatta attuazione delle obbligazioni derivanti dal rapporto gestorio sottostante, così che, prescritta la prima per decorso del relativo termine, può comunque farsi ricorso alla seconda. Si segnala la necessità di correggere l’argomentazione che ritiene sussistere, nel caso affrontato, un’ipotesi di contratto con se stesso, mentre sarebbe più coerente con i fatti di causa discorrere di un mero conflitto di interessi. Inoltre, la Suprema Corte non si sofferma sufficientemente sulla natura del danno cagionato dai rappresentanti ai soggetti interessati, danno che appare in realtà difficilmente configurabile quando lo si fa derivare da previsioni inserite nel contratto concluso dal rappresentante senza l’autorizzazione in procura da parte del rappresentato, le quali non sono vincolanti per quest’ultimo, essendosi in presenza di un difetto del potere rappresentativo.
